1General
These Terms set out how we provide the Reelelle service, a subscription for running a company's social media: reels with motion design, graphics, carousels, covers, captions, a posting plan and posting on the Client's accounts, and how the Website and the Panel may be used.
The service is provided by Michał Fox, trading as Reelelle, in Kraków, Poland, e-mail: hello@reelelle.com ("Reelelle", "we"). Our details and every document are collected on the Legal information page.
These Terms are a standard contract within the meaning of Article 384 of the Polish Civil Code and terms of electronic services within the meaning of Article 8 of the Polish Act of 18 July 2002 on providing services by electronic means.
The Agreement also includes the SLA, which sets deadlines, response times and service credits, and the Data Processing Agreement. For personal data entrusted to us by the Client the Data Processing Agreement prevails, and for deadlines and service credits the SLA prevails.
We provide the service to businesses only. A person who concludes a contract for purposes unrelated to their business or profession cannot conclude the Agreement. Special rules for a sole trader with consumer rights are set out in section 22.
These Terms are available free of charge on the Website. They can be printed or saved as a PDF with the button on this page, and we send them by e-mail on request.
The Client's general terms, order forms and other standard documents do not bind Reelelle unless we expressly accept them in Documentary Form.

3Concluding the Agreement
The Agreement is concluded in the Panel. The Client chooses a Plan, enters the company name, the name of the person creating the account and an e-mail address, sets a password and accepts these Terms together with the SLA and the Data Processing Agreement. The Agreement is concluded when the account is created. We store the version of these Terms accepted at that moment with the account and show it in the Billing tab.
The person who concludes the Agreement on behalf of the Client confirms that they are authorised to do so.
An enquiry sent with the contact form, a call before the Agreement and a Plan proposal do not conclude the Agreement and do not bind either party.
We may refuse to start working together if the business or offer the Client wants to promote is unlawful, breaches the rules of social platforms or infringes the rights of third parties. In that case we terminate the Agreement and refund every payment received.
4Plans and scope of the service
The scope of each Plan is set out in the Pricing. The table below shows the same numbers. Items are counted separately in each Billing Period.
| Plan | Price per month, excl. tax | Reels | Graphics | Carousels | Platforms | Weekly | Also included |
|---|---|---|---|---|---|---|---|
| Start | $690 | 4 | 4 | 1 | 2 | A written update and questions every week | - |
| Growth | $1,290 | 8 | 8 | 2 | 3 | A 15-minute video call every week | Two openings for every reel |
| Pro | $2,390 | 12 | 12 | 4 | 4 | A 30-minute video call every week | Two openings for every reel; Reel cuts for ads in 4:5 and 1:1; One rush reel a month, within 3 working days |
In every Plan we prepare:
- 1)reels with motion design, 15 to 45 seconds long, in vertical 9:16, adapted to the platforms in the Content Plan;
- 2)single graphics and carousels in the formats right for each platform;
- 3)a cover for every reel and captions and hashtags for every post;
- 4)a Content Plan for every month;
- 5)posting of the Materials on the Client Accounts according to the approved Content Plan (section 7);
- 6)a monthly report with the results of the Client Accounts in the Results tab;
- 7)a weekly check-in: in the Start Plan a summary and questions by e-mail, in the Growth and Pro Plans a video call of the length stated in the Pricing.
In the Growth and Pro Plans we prepare two opening variants for every reel, and the Client picks one in the Panel. In the Pro Plan we also prepare reel cuts for ads in 4:5 and 1:1 and one quick reel a month, delivered within the SLA deadline and ordered with a Request of the type "Quick reel".
Reels are made from motion: typography, logo, photos, graphics and Client Materials. We do not come on site to film. If the Client sends short videos, we may use them.
The service does not include replying to comments and messages, customer service for the Client's customers, running paid campaigns or managing ad budgets, influencer work or buying ads. Conversations with the Client's customers stay with the Client.
Unused scope of a Billing Period does not carry over to the next one. The exception is Items we did not deliver for approval for reasons on our side: we deliver them in the next Billing Period and grant a service credit under the SLA.
The number of platforms in a Plan is the number of platforms we post on. Client Accounts are connected in the Settings tab of the Panel, within the Plan's limit.
5Getting started and the Setup Fee
Once the Agreement is concluded, we issue an invoice for the Setup Fee. The Client books the kickoff call in the Panel, connects the Client Accounts and uploads the logo and photos of the offer.
The Setup Fee covers the kickoff call, a review of the Client Accounts, the Brand Motion Guide, an animated logo for reel endings and the Content Plan for the first month. We deliver the first month's plan within 5 Business Days of the kickoff call and the first reels for approval within 10 Business Days of that call.
We start the setup work once the Setup Fee is received. The deadlines in clause 5.2 run from the kickoff call, but not before the Setup Fee is received and the logo is delivered.
The Setup Fee is non-refundable because it covers work done up front whose results stay with the Client. We refund it in full if we refuse to start (clause 3.4) or if the Agreement is terminated through our fault before the Brand Motion Guide is delivered. The rights of a Consumer-Protected Sole Trader are set out in section 22.
The Subscription starts on the first day of the calendar month covered by the first Content Plan. We agree the start date on the kickoff call and show it in the Billing tab of the Panel. From that day we count the Billing Periods, the minimum term and the tenure on which the loyalty discount depends (section 13).
6Content Plan, production and approval
We make the next month's Content Plan available in the Panel by the 25th of the current month. The Client approves it in the Content plan tab or adds comments to items, and we reply and update the plan.
We make every Material available for approval in the Review tab. A reel is first shown as a Motion Sketch and then as the finished animation. Comments on a Motion Sketch do not use up a Revision Round.
The Client gets 2 Revision Rounds for each Item. Rounds are counted separately for each Item, and the Panel shows how many were used next to the Material and in the Billing tab. Fixing a mistake we made against the approved plan, the Brand Motion Guide or the Client Materials is not a Revision Round.
Comments after the Revision Rounds are used up are agreed in a Request. If they require the Material to be made again, with the Client's consent we count it as another Item from the Plan's scope for that month or quote it separately before starting.
Approving a Material in the Panel means consent to post it on the date in the Content Plan. The Client should decide no later than one day before the posting date. The Panel shows this date next to every Material.
We do not post a Material without approval. We post it at the next free slot after approval. An Item we delivered for approval within the SLA deadline that the Client has not approved by the end of the Billing Period counts towards that period's scope, and its latest version stays in the Library.
Changing the topic or an approved Material at the Client's request after animation has started is a new Item, unless it results from a mistake on our side.
We may have part of the work, in particular animation and editing, done by people we work with. We are responsible for them as for ourselves, and they get access to data only to the extent needed for their work (Data Processing Agreement, section 6).
7Posting and Client Accounts
We post the Materials on the Client Accounts on the dates in the approved Content Plan. For this the Client gives us access to the Client Accounts, where possible through the platforms' partner access tools, without sharing a password. The Client may limit or revoke this access at any time.
The Client remains the owner of the Client Accounts and the party to the agreements with the platforms. The Client is responsible for the Client Accounts complying with the platforms' rules, for their security, including two-step login, and for comments, messages and other posts we did not prepare.
We use access to the Client Accounts only to post approved Materials, set covers and captions and read statistics for the report. We do not change account settings, reply to messages or comments, delete posts we did not prepare or download follower data, unless the Client asks for it in a Request.
If posting is not possible for reasons on the side of the Client or the platform, in particular after access is revoked, the account is blocked or the platform fails, we deliver the Material in the Library with a caption for the Client to post and tell the Client. The Item counts towards that Billing Period's scope.
The Client may choose to post on its own instead. We then deliver the Materials in the Library with captions and suggested dates, and the Plan's scope and price stay the same.
At the start and at the end of working together, the parties remove or revoke access that is no longer needed. After the Agreement ends we remove our access to the Client Accounts within 7 days.
8Results and platform decisions
We do not guarantee views, reach, followers, messages or sales. They depend on the platforms' algorithms, the Client's offer, competition and season. We guarantee what is in the Plan: the number and type of Items, the SLA deadlines and the weekly check-in.
The monthly report shows the data the platforms make available in the Client Accounts' statistics. The platform is responsible for its completeness and how it is counted.
We are not responsible for platform decisions, in particular reduced reach, muted audio, removed posts or blocked accounts, unless they result from our breach of these Terms, in particular using Third-Party Materials without the required licence (section 10).
9Client Materials
The Client provides Client Materials in the Panel, in a Request or in another agreed way, and warrants that:
- 1)it holds the rights or consents needed to use them in the Materials and to publish them on social media, including in ads if the Client wants to use them that way;
- 2)the people shown in photos and videos have agreed to their image being distributed for this purpose, unless consent is not required under Article 81 of the Polish Copyright Act;
- 3)information about the offer, prices, promotions and product features is true and lawful, including the rules on advertising regulated products.
The Client grants us a free, non-exclusive licence to use the Client Materials to the extent and for the time needed to perform the Agreement and, to the extent the Client agrees under clause 11.7, for our portfolio.
If a third party makes a claim against us concerning Client Materials or the information referred to in clause 9.1, the Client indemnifies us and covers the reasonable costs of defence, provided we notify the Client promptly and let it take part in the matter.
We may refuse to use a Client Material or to prepare a Material that in our view breaks the law, infringes the rights of third parties or breaches platform rules. We say so in a Request and suggest a change.
10Music, stock footage and third-party licences
We use Third-Party Materials only under licences that allow commercial use on business social media. Rights to Third-Party Materials do not pass to the Client. The Client uses them on the terms of their provider's licence, as part of the Material in which we used them.
We choose music the business may lawfully use on the given platform. Some tracks in the apps' libraries are not available to business accounts. Music from a platform's commercial library, for example TikTok's Commercial Music Library, may be used on that platform only. A version of the reel for another platform is prepared with music allowed there or without music.
Stock clips, photos and sounds come from libraries whose licences allow commercial use without crediting the author, for example the Mixkit Stock Video Free License for Mixkit clips. We do not use material whose licence limits it to personal projects.
Before using a Material with music or stock footage outside the platform it was prepared for, in particular in TV advertising, in a shop or on a website, the Client checks the licence terms. On request in a Request we will name the source and licence of every Third-Party Material used in a given Material.
Typefaces and identity elements owned by the Client or its supplier are used within the Client's licence. Typefaces we choose ourselves come from licences that allow commercial use, in particular the SIL Open Font License.
11Rights to the Materials
When the fee for the Billing Period in which we delivered a Material for approval is paid, and for the Brand Motion Guide and the animated logo when the Setup Fee is paid, we grant the Client a non-exclusive, irrevocable licence to the Material, unlimited in time and territory, in the fields of use in clause 11.3, with the right to sublicense it to parties that post or promote the Material on the Client's behalf.
At the Client's request, once the payment condition in clause 11.1 is met, we transfer to the Client the author's economic rights to the Materials in the fields of use in clause 11.3, at no extra charge. Under Polish law such a transfer requires written form, so the parties then sign a rights transfer agreement on paper or electronically with qualified electronic signatures. Together with the rights we transfer the right to authorise derivative works.
The licence and the transfer of rights cover the following fields of use:
- 1)recording and reproducing by any technique, including digital, in any number of copies;
- 2)storing in computer memory and on networks, in particular posting on the Client Accounts, on the Client's other social media accounts, on the Client's website and in its newsletter;
- 3)making available to the public so that anyone can access it at a place and time of their choosing, public display and playback, broadcasting and rebroadcasting;
- 4)use in the Client's advertising and promotion, including paid campaigns on social platforms;
- 5)shortening, changing format, crop, length and captions, translating and combining with other works.
Until the payment in clause 11.1 is made, the Client may use a Material to review and approve it, and a Material already posted under a licence we may terminate if the Client is more than 30 days late with payment.
The licence and the transfer of rights do not cover Third-Party Materials (section 10) or our tools, templates, animation presets and technical solutions that we create independently of the Agreement and use when working for many clients. Insofar as they form part of a Material, the Client uses them under the licence in clause 11.1.
Project source files, in particular animation and editing project files, are not part of the service and we do not hand them over unless the parties agree otherwise. The Client downloads finished Materials from the Library.
We may show Materials posted on the Client Accounts in our portfolio and on Reelelle's channels, with the Client's brand named. The Client may object at any time in a Request or by e-mail. We then remove such showcases within 14 days.
We undertake not to exercise our moral rights to the Materials in a way that would hinder the Client's use of them; in particular we do not require the Materials to carry our name or brand, subject to clause 11.7.
12Prices and payments
The prices of the Plans and the Setup Fee are set out in the Pricing. An account created in the Polish version of the Website is billed in Polish zloty under the Polish Pricing, and an account created in the English version in US dollars under the English Pricing. The Billing tab of the Panel shows the account's currency. Prices exclude tax. If value added tax or a similar tax applies to the service, we add it at the rate in force on the invoice date.
The Subscription is paid in advance for each Billing Period. We issue the invoice at the start of the Billing Period, with the loyalty discount (section 13) as a separate line. Invoices are available as PDF files in the Billing tab of the Panel.
The Client chooses the payment method in the Panel: bank transfer with a 7-day payment term or a payment card handled by a payment operator. The payment date is the day our account is credited or the payment operator confirms the payment.
The Plan's price does not go up during the minimum term. A price change after the minimum term is a change to these Terms under section 26 and applies from the Billing Period that starts after the notice period in clause 26.2.
A Client who is not a Consumer-Protected Sole Trader may not, without our consent in Documentary Form, set off its claims against ours or withhold payment because of an objection to a single Material. Objections are handled as complaints (section 23) and under the SLA.
If payment is late, we may charge statutory interest for late payment in commercial transactions and compensation for recovery costs under the Polish Act of 8 March 2013 on counteracting excessive delays in commercial transactions.
13Loyalty discount
Every full month of Subscription without a break adds to the Client's tenure. The tenure sets the discount on the account's whole subscription:
| Tenure without a break | Discount |
|---|---|
| from 3 full months | 5% |
| from 6 full months | 10% |
| from 9 full months | 15% |
| from 12 full months | 20% |
| from 18 full months | 25% |
| from 24 full months | 30% |
The discount is calculated at every renewal, on the account's total subscription, according to the tenure on the first day of the Billing Period. It does not apply to the Setup Fee or to work quoted separately. The Billing tab of the Panel shows the tenure, the current discount, the next step with its date and amount, and the full ladder.
After a failed payment the Client has 14 days to pay and the tenure keeps counting meanwhile. If payment does not arrive within that time, the tenure starts again from the day the arrears are paid.
A pause (section 14) does not reset the tenure. The tenure stands still during the pause, and its start and the dates of the next steps move by the length of the pause.
Cancelling the Agreement resets the tenure. If the Client withdraws the cancellation before it takes effect, the tenure and the discount stay. If the Client comes back after the Agreement has ended, the tenure starts from zero.
14Pause
Once per calendar year the Client may put the Subscription on hold for 1, 2 or 3 months, meaning that many full Billing Periods. The calendar year of a pause is the year in which it starts.
A pause starts at the next renewal, on the first day of the next Billing Period, and no earlier than the end of the minimum term. The Client schedules it in the Billing tab of the Panel, where before confirming it sees the pause dates, the date and amount of the next payment and the effect on the tenure.
During a pause we do not prepare a Content Plan, produce or post Materials, or issue invoices. The Panel, the Library and Requests keep working, and access to the Client Accounts may stay in place.
The Client may undo a scheduled pause in the Panel until the day it starts. Cancelling the Agreement removes a scheduled pause.
A pause does not extend the minimum term because it only starts after it. After the pause the Subscription resumes by itself in the same Plan, and we issue the first invoice on the first day of the Billing Period after the pause.
15Failed payments and arrears
We report a failed payment or a missed payment term in the Panel and by e-mail.
For 14 days after a failed payment we work and post as usual. If payment still has not arrived after that, we stop production and posting until it is paid, and the SLA deadlines move by the length of the stop. Stopping work does not affect the Client's data or access to the Panel.
If arrears last longer than 30 days, we may terminate the Agreement with immediate effect after a payment reminder giving at least 7 additional days. The Client then pays for the Billing Periods started up to the termination date.
16Changing Plans
The Client changes the Plan in the Billing tab of the Panel. The change applies from the next Billing Period because the current period's Content Plan is already prepared. Before the Subscription starts, the change applies at once.
The Client may move to a higher Plan at any time, and to a lower one after the minimum term. If the new Plan covers fewer platforms than the Client has connected, the Client picks in the Panel the platforms we keep posting on.
Changing the Plan does not reset the tenure. The loyalty discount is calculated from the new Plan's price.
17Term and cancellation
The Agreement is concluded for an indefinite period. The minimum term is 3 full Billing Periods from the start of the Subscription. The Billing tab of the Panel shows when the minimum term ends.
The Client may cancel the Agreement at any time in the Billing tab of the Panel, confirming with the company name, or by e-mail to hello@reelelle.com. The notice period is 1 calendar month: the Agreement ends on the last day of the calendar month following the month in which notice was given, but not before the end of the minimum term. The Panel shows the end date before the cancellation is confirmed.
Until the end date we prepare and post Materials according to the Content Plan, and the Client pays for the Billing Periods up to that date. Cancelling removes a scheduled Plan change and a scheduled pause.
The Client may withdraw the cancellation in the Panel until it takes effect. The Subscription then continues unchanged, with the tenure and the discount.
Before the Subscription starts, the Client may withdraw in a Request or by e-mail. The Agreement then expires, and the Setup Fee is governed by clause 5.4 and section 22.
Either party may terminate the Agreement with immediate effect, including during the minimum term, if the other party materially breaches it and does not remedy the breach despite a notice giving at least 7 days. The Client may also do so in the case described in the SLA section on the right to terminate.
18After the Agreement ends
Materials the Client has paid for stay with the Client together with the licence in section 11. Materials posted on the Client Accounts stay there. We do not delete posts after the Agreement ends.
For 30 days after the Agreement ends the Panel works read-only: the Client downloads the Materials from the Library, invoices from the Billing tab and reports from the Results tab. On request made in that time we also send an export of the account's data, in particular content plans, captions and reports, in electronic form.
Within 7 days after the Agreement ends we remove our access to the Client Accounts. We recommend the Client also checks in the platforms' settings that partner access has been revoked.
After the period in clause 18.2 we delete the account data, the Materials and the Client Materials within 30 days. We keep only invoices and the data needed for accounting and to protect claims, for the periods in the Privacy policy.
Provisions that by their nature apply after the Agreement ends remain in force, in particular sections 11, 19, 20 and 21.
19Liability
We are liable for non-performance or improper performance of the Agreement under general rules, with the limits in this section. SLA service credits count towards damages for the same event.
Towards a Client who is not a Consumer-Protected Sole Trader, our total liability under the Agreement is limited to the fees the Client paid us in the 12 months before the event giving rise to the damage. We are not liable to such a Client for lost profits.
In particular we are not liable for:
- 1)the effects of Client Materials and information from the Client (section 9);
- 2)the results of posts referred to in section 8 and platform decisions, except as in clause 8.3;
- 3)content posted by the Client or third parties on the Client Accounts and the security of the Client Accounts;
- 4)outages of social platforms, networks and services the Client Accounts rely on.
The limits and exclusions in this section do not apply to damage caused intentionally, to personal injury or where the law does not allow them. Towards a Consumer-Protected Sole Trader we are liable under general rules, and clause 19.2 does not apply.
Towards a Client who is not a Consumer-Protected Sole Trader, statutory warranty for defects (rękojmia) is excluded under Article 558(1) of the Polish Civil Code. Such a Client's rights regarding defects in the Materials are set out in section 6 (revisions), section 23 (complaints) and the SLA.
20Confidentiality
The parties keep confidential the information about each other obtained in connection with the Agreement, in particular access details, Materials before posting, plans, prices, results and information about customers. This does not apply to public information or to disclosure required by law.
We do not show Materials before posting or unposted variants to anyone except the people working on them.
Confidentiality continues after the Agreement ends.
21Personal data
Reelelle is the controller of the personal data of the Client, Users and contact persons processed in connection with concluding and performing the Agreement. The Privacy policy explains how.
Personal data controlled by the Client, in particular data of people shown in Client Materials and data available on the Client Accounts, is processed under the Data Processing Agreement, which the parties conclude together with the Agreement.
22Consumer-protected sole traders
A Consumer-Protected Sole Trader is protected against unfair contract terms and has the right to withdraw from a distance contract and the rights for non-conformity of the service with the contract, to the extent the law grants them to such traders.
A Consumer-Protected Sole Trader may withdraw from the Agreement without giving reasons within 14 days of concluding it. It is enough to send a statement before the deadline, for example by e-mail to hello@reelelle.com. The model form at the end of these Terms may be used but does not have to be.
Booking the kickoff call or approving a Content Plan before the deadline in clause 22.2 is an express request to start the service before it expires. We say so when the account is created. If a Consumer-Protected Sole Trader withdraws after such a request, they pay for the services performed up to the withdrawal, in proportion to their scope, in particular for the kickoff call held and the Materials delivered. We calculate the amount from the Pricing and present it with the settlement.
The right of withdrawal does not apply if we have fully performed the service with the express consent of the Consumer-Protected Sole Trader, who was informed before performance began that they would lose the right of withdrawal once it was performed, and acknowledged this (Article 38(1)(1) of the Polish Consumer Rights Act of 30 May 2014).
After withdrawal we refund the payments received, less the amount in clause 22.3, within 14 days of receiving the statement, using the same payment method unless the parties agree another one at no cost to the Consumer-Protected Sole Trader.
Clauses 5.4, 12.5, 19.2 and 19.5 do not limit the rights of a Consumer-Protected Sole Trader under this section and the law.
23Complaints
Complaints about the service, the Website and the Panel can be made in a Request or by e-mail to hello@reelelle.com. A complaint should say which account it concerns, what it is about and what the Client expects. Missing details do not stop us from handling it.
We reply to a complaint within 14 days of receiving it, in the Request or by e-mail.
An accepted complaint about a Material means we fix it or make it again without using up a Revision Round and, if that is not possible in the Billing Period, grant a service credit under the SLA.
Service credit claims under the SLA are made within the period stated in the SLA.
24Website, Panel and communication
By electronic means we provide free of charge the Website's content, the contact form and a Panel account, and under the Agreement the other Panel features. The agreement for using the contact form is concluded when it is sent, and for the Panel account when it is created.
Using the Website and the Panel requires a device with internet access and an up-to-date browser with JavaScript and cookies enabled, and for the Panel also an e-mail address. Push notifications work in browsers that support them, and on iPhone and iPad in the app added to the home screen.
Each User is responsible for keeping their password confidential. The Client is responsible for the people it adds to its account and the roles it gives them.
It is forbidden to supply unlawful content, disrupt the Website and the Panel or attempt unauthorised access. We may block an account that breaks these rules and tell the Client.
Using the internet carries risks such as malware and phishing for login details. We never ask for Client Account passwords by e-mail.
The parties communicate in the Panel, through Requests, by e-mail and on calls. Statements made this way meet the Documentary Form requirement. A message sent to the account's latest e-mail address is deemed delivered.
Panel availability and Request response times are set by the SLA. Planned maintenance is announced as described in the SLA.
25Force majeure
A party is not liable for failing to perform the Agreement to the extent this results from force majeure, meaning an external event that could not be foreseen or prevented, in particular a natural disaster, war, decisions of public authorities or a widespread power or telecommunications failure.
A party affected by force majeure tells the other party without delay. Deadlines move by its duration. If force majeure lasts more than 30 days, either party may terminate the Agreement with immediate effect.
26Changes to these Terms
We may change these Terms, the SLA and the Data Processing Agreement for good reasons, in particular a change in the law, the Plans' scope, prices, the way the service is provided or social platform rules.
We announce changes by e-mail and in the Panel at least 14 days before they take effect and publish the new version on the Website with its effective date.
A Client who does not accept the changes may cancel the Agreement before they take effect, with effect on the day they would apply, including during the minimum term and at no extra cost. The tenure is settled as for a cancellation.
A change does not apply to a Billing Period already under way. Earlier versions of the documents are sent on request.
27Final provisions
The Agreement is governed by Polish law, in particular the Civil Code and the Copyright Act.
The parties try to settle disputes amicably. Disputes with a Client who is not a Consumer-Protected Sole Trader are settled by the court competent for the place where Reelelle carries on business, and disputes with a Consumer-Protected Sole Trader by the court competent under general rules.
If any provision of these Terms proves invalid, the rest remain in force.
A Client who is not a Consumer-Protected Sole Trader may not transfer its rights and obligations under the Agreement to a third party without our consent in Documentary Form.
These Terms are available in Polish and English. In case of discrepancy the Polish version prevails.
These Terms apply from 24 October 2026.
